Superior Offshore International, Inc. (Nasdaq: DEEP) today announced that it has reached definitive agreements with Hornbeck Offshore Services LLC, a wholly owned subsidiary of Hornbeck Offshore Services, Inc. (NYSE: HOS) ("Hornbeck"), for the sale and charter-back of the Superior Achiever, a DP-III deepwater construction and dive support vessel that is under construction and is expected to be delivered in late 2008.

Under the agreements with Hornbeck, Superior Offshore will receive approximately $70 million in cash, which represents its investment to date in the new vessel. Superior Offshore will use the proceeds of the sale to repay its $55 million term loan obligation to Fortis Bank and will pay down substantially all of its outstanding borrowings under its senior secured credit facility with JPMorgan Chase Bank. Following the completion of the sale and the application of the proceeds, Superior Offshore will have no outstanding term debt and will have reduced its 2008 capital requirements by approximately $30 million. Closing is subject to customary conditions, including obtaining third-party consents, and is expected to occur on or before January 21, 2008.

Hornbeck has agreed to a five-year time charter for the Superior Achiever or another acceptable vessel. Superior Offshore will have the option to terminate the charter with 90 days' advance notice prior to the end of each six-month period within the term. Superior Offshore and Hornbeck also have agreed to explore non-exclusive joint marketing and cooperation agreements for new business opportunities that would utilize the complementary resources of the two companies.

The vessel - which will keep the name, Superior Achiever - will be capable of working in harsh or deepwater environments. Superior Offshore expects to deploy the vessel by the end of this year to international markets and/or deepwater Gulf of Mexico projects.

"We are pleased to sign this definitive agreement with Hornbeck, one of the world's leading new-generation vessel operators," said Jim Mermis, Superior Offshore's President and Chief Executive Officer. "Hornbeck has one of the youngest fleets in the offshore supply vessel industry and is on the leading edge of advanced technology serving the deepwater oil and gas industry. We believe our subsea construction services are a natural fit with Hornbeck's multi-class fleet of deepwater vessels.

"This transaction will benefit our shareholders by streamlining our capital structure," Mermis added. "Once the transaction is closed and funded, we will retire our term loan and significantly deleverage our balance sheet."

Withdrawing 2008 Guidance

Separately, Superior Offshore is withdrawing its prior 2008 guidance due to the recent events that have changed the Company's financial and operational profile, including the decision to cancel the acquisition of Ocean Flow International L.L.C.; the pending sale and charter-back of the Achiever; and current negotiations with respect to several potential long-term charters.

"We will continue to focus on our primary markets in the Gulf of Mexico, Trinidad, the Middle East and Africa, with a streamlined focus on operational effectiveness and efficiency," Mermis said. "We expect to be in a position to provide new guidance for 2008 financial results on or before we report fourth quarter and full year 2007 results in March."

I lost a lot of money on this one. It's my own fault for taking
someone else's recommendation, but anyway.... This company has taken
care of it's senior officers as they left the shareholders with
worthless shares in a company racked by debt and tax problems. It was
a fantastic company to own before senior leadership took jobs that the
compaay couldn't perform. For myself, and a lot of other people, are
involved in some sort of class action suit against deep. There are
several, trying to squeeze out a few last pennies before the end. My
message to the management: Take your dirty money and go live in a
foreign country because if I see you living it up in Galveston you're
going to wish you had never heard of sub-sea construction.

The premier of Aruba made these comments during a press conference yesterday. He is just back from a working visit in Colombia. He took part as listener in the General Meeting of the Organization of American States (OAS) in Colombia. He met with the Colombian president Alvaro Uribe last Sunday discussed among others the energy policy. Uribe sugges ted supplying Aruba with natural gas, just like Colom bia does with Puerto Rico, Venezuela, and Panama. They agreed that the ambassador for the Kingdom will start negotiating today with the Colombian minister of Mining and energy. A delegation of representatives of WEB and Elmar intends to go to Colombia and work out the further details afterwards. This is an historic moment, said Oduber.

The premier says that altering the WEB to use natural gas instead of fuel oil must be possible in one year. WEB will take care of the costs, about 20 millions. The natural gas will have to be transported by ship in the beginning, but the construction of a pipeline must be considered on the medium- and long run. This pipeline will have to run via Venezuela to our island. Oduber thinks that this may take about 3 years. Apart from using the gas for the production of electricity a nd water, it can also be used for cars and in the houses. Oduber does not abando n the thoughts of other alternatives like wind- and sun energy, but these can only supply the island with a limited amount of electricity and water. Other energy sources like pet-coke and pitch are too expensive, says the premier. Also the deepwater cooling is no option. “We do not have deepwater here.”

The Caribbean poised for global competition through the CARICOM Single Market & Economy (CSME)
CARICOM
The people who live on the scattered islands and territories known as the Caribbean have always had a dream of economic integration and are now poised to realize that dream. In 1973, under the Treaty of Chaguaramas, the Caribbean Community and Common Market (CARICOM) was born. “While the idea of community remains central to integration, the Common Market has today taken on an entirely different dimension,” states Ambassador Ellsworth John, chairman of the Conference of the Caribbean’s major organizing body, the Washington-based CARICOM Caucus of Ambassadors.

The ambition now is to build out of fifteen separate national economies a single, integrated, globally competitive modern market economy within an economic space referred to as the CARICOM Single Market and Economy (CSME). As Ambassador John explains, “This is made possible through learning from CARICOM countries’ individual economic successes attained during the second half of the last century as well as from their collective experiences at regional integration over the past thirty years.”
Ambassador John notes that in its architecture and functioning, the CSME will be second only to the European Union but without such centralized political institutions as the European Commission and European Parliament.

Structure of the CSME to mature in December 2008
The CSME was negotiated by the Caribbean countries under two main economic branches, the Single Market and the Single Economy. “While the whole structure that is the CSME will fully mature in December 2008, the journey has an important pit stop and that involves the free movement of goods, services, skills and capital and the freedom of Caribbean nationals to set up businesses anywhere within the CSME without restrictions. This process began on January 1, 2006,” said Ambassador John.

“The CSME is being implemented in one of the most politically stable and increasingly prosperous parts of the world,” located just south of Florida and wedged between the giant markets of North and South America. Geographically, the CSME brings together the rich island traditions of the Windward and Leeward islands, with the continental flair of Belize to the north in Central America and Guyana and Suriname south of the Caribbean in South America.

Bringing this mix of countries into the CSME puts into one economic system: oil and natural gas; gold; bauxite; a wealth of marine resources; fertile agriculture land; some of the world’s most beautiful tourist destinations; a highly literate population; and to create the foundations for an attractive location for business and commercial opportunities.

“The Single Market was opened for business in early 2006 and already some of its pivotal institutions are up and running, including a Caribbean Court of Justice, with its headquarters in Trinidad and Tobago and the CARICOM Regional Organisation for Standards and Quality headquartered in Barbados. The Commission for Competition is to have its headquarters in Suriname” says Ambassador John.

He indicates that after each country has reformed its immigration laws under the agreements relating to free movement of skills, people in certain categories of occupations with specific skills can live and work wherever they choose outside their country of birth or nationality. This, the ambassador says, is being reinforced by a common system for the transfer of social security benefits and a CARICOM passport.

“A simple definition of the CSME would be: a single seamless economic space where CARICOM populations can conduct business as though they were operating in a single country. Under the new rules, CARICOM nationals from any one member state must be treated in every respect for the purposes of business as the nationals of the member state where they choose to reside or do business.”

Scope of the Single Economy broader than the Single Market
The Single Economy is much broader in scope and commitments than the Single Market since it involves agreements, rules and procedures for cooperation in areas such as monetary, fiscal, exchange rates and sectoral policies by the member states. Despite this, the building blocks for the Single Economy are now being laid down with such instruments as the CARICOM Investment Agreement, the CARICOM Investment Code, and the Financial Services Agreement and with work in progress on a Single Stock Exchange. “These, together with the other instrumentalities for operating a single economy in a multilateral framework are required to be completed by the end of 2008,” notes Ambassador John.

“The excitement of the Single Market that opened for business early in 2006 has energized the professions and service companies within CARICOM to meet the competition. Self-employed and business persons have special rights to establish a commercial presence throughout the CSME, and a big push is on to eliminate all of the restrictions, the bureaucracy and the obstacles to cross-border mobility of companies and other forms of business establishments.
“Registrars of Companies are hard at work to iron out kinks in the legal arrangements for establishments under the Companies Act and to bring about effective harmonization of the rules for incorporating and registering companies in the CSME,” says Ambassador John, the chairman of the major organizing body of the Conference on the Caribbean.

The Washington-based CARICOM Caucus of Ambassadors indicates an increasing confidence among the people and companies in the Caribbean Community. This confidence will not only allow them to compete globally but also will be a demonstration of how small countries can define their place and succeed in the global marketplace.

Aruba an uneasy neighbor as Venezuela builds forces

ORANJESTAD, Aruba - On a clear day, you can see all the way from the southern side of Aruba to Venezuela - a fact that has rarely caused concern since the island became part of the Dutch kingdom in the 17th century.

But with a military build up going on in Venezuela and U.S. warships recently engaged in large-scale exercises in nearby Caribbean waters, Aruba suddenly finds itself in the center of political tensions that some fear may turn into a military showdown. "Little by little, we are more concerned," Agustin Vrolijk, Aruba's director of foreign affairs, told The Miami Herald.

He mentioned the recent purchases by Venezuelan President Hugo Chavez of 100,000 Kalashnikov assault rifles, more than 30 Russian helicopters and the desire to manufacture Kalashnikovs to protect his country from a U.S. invasion - a possibility that Washington has strongly denied.

"Is all this only for defensive purposes?" Vrolijk asked. Vrolijk's concerns are partly allayed by a long history of good relations between Venezuela and the so-called ABC islands - Aruba, Bonaire and Curaçao, all part of the kingdom of the Netherlands and protected by the Dutch armed forces. They have long maintained close commercial ties and have strategic partnerships to tackle issues like drug trafficking.

There are many Venezuelans living on Aruba, and most islanders speak some Spanish. There is also a Valero refinery that processes Venezuelan oil for sale on the East Coast of the United States, and the Dutch oil giant Shell is expanding its reach into Venezuela.

"We know that Aruba poses no threat to Venezuela, and we don't believe that Venezuela poses a threat to Aruba," Hinkinus Nijenhuis, the Dutch ambassador to Venezuela, told The Miami Herald in an interview in Caracas.

The U.S. government also has interests in the islands, maintaining military facilities in both Aruba and neighbouring Curaçao. These facilities, known as Forward Operating Locations (FOL), support U.S. airplanes and occasionally ships that are fighting drug trafficking in the region. They are particularly useful because U.S. planes are no longer allowed to patrol in Venezuelan airspace.

Tensions between the islands and Venezuela appear to have grown as a result of the increasingly combative rhetoric between Washington and Caracas, and Venezuela's increased relations with its Caribbean neighbours. In addition to expanding relations with Cuba, Venezuela also has reached out to the rest of the islands with offers of discounted oil and refinery upgrades.

At the same time, Chavez has tried to isolate the U.S. government from the region, calling President Bush "Mister Danger" and saying repeatedly that Washington has designs to invade his country or even assassinate him. With this in mind, Chavez has ramped up his defences.

For Chavez, the Dutch islands, which lie between 16 and 30 miles off the Venezuelan coast, would feature prominently in such an invasion plan. On the ABC News program "Nightline" last year, Chavez told Ted Koppel that a war game developed in Spain in 2001 simulated this invasion; one of the launching points for this simulated attack was an FOL near the target.

The United States has denied Chavez's claims but at the same time flexed its military muscle in the region. In April, as part of a large exercise, the U.S. Navy sent the aircraft carrier George Washington to Aruba and to Curaçao and St. Maarten, both part of the Netherlands Antilles.

"There's no other symbol of American power like the carrier that conveys our commitment to the region," Brig. Gen. Kenneth J. Glueck Jr., the Southern Command's chief of staff, told The Associated Press at the time. A destroyer, frigate, cruiser and 60 airplanes joined the aircraft carrier in its tour through the Caribbean.

Tensions also rose after the Netherlands defense minister, Henk Kamp, told parliament in Amsterdam recently that Chavez had his sights set on the ABC islands. But he added that there was little to fear because of Venezuela's "second class" navy. Chavez, a former army colonel, responded by calling Kamp "a pawn of Washington."

The Dutch government moved quickly to calm the storm, claiming that Kemp did not convey its feelings toward Venezuela. The Dutch also hosted two Venezuelan military officers during a military exercise of their own and recently sent a high-level delegation to Venezuela.

U.S. analysts like Daniel Erikson of the Inter-American Dialogue in Washington also downplay the recent rhetoric. "This is very much the tempest in the teapot," Erikson said. "There is an unsettled climate around Venezuela's regional ambitions. ... But while there might be nervousness there, I just don't see Venezuela having any serious designs on the Netherlands Antilles."

On Aruba, a tranquil, arid island of 80,000 people with a soft breeze and light blue waters, the mood is hardly tense. Tourists escape the news with piña coladas and grilled fish, while locals mostly laugh at the likelihood that Chavez would want to take over their lands. "We talk about it, but we don't think they'll invade," said Luis Yarzagaray, a former Dutch marine who is now a private security officer.

Yes, TX......I believe someone may have posted something about the natural gas line (at least I think I've read it before), and the date/timing of the discussion was something that stood out.
