Global Industries, Ltd. announced today that it has been awarded a project by Shell Offshore Inc. for the decommissioning and abandonment of an 8-pile production platform located in Eugene Island 331 "A" in approximately 250 FSW in the Gulf of Mexico.


On May 8, 2008, the Company filed a motion with the Court for authority to sell a 12-Man 300 meter skid-mounted saturation diving system and related equipment to Global Industries Offshore LLC for a cash payment of $6,750,000.00.

DeepOcean has been awarded a new contract in Mexico

DeepOcean has been awarded a new contract from the contractor Constructora Subacuática Diavaz S.A. de C.V. ("Diavaz") in the Gulf of Mexico for the charter of MPSV Aquanaut for 45 days from 29 November 2006 until 13 January 2007.
 
The vessel will be used for maintenance work under a contract Diavaz has with Pemex.

As a consequence of the agreement with Diavaz, DeepOcean has made an agreement with the owners of MPSV Aquanaut, Adams Offshore Ltd, to extend the charter of the vessel until 13 January 2007.

Aruba Premier Expects Agreement With PetroChina Soon, ANP Says

Aruban Prime Minister Nelson Oduber expects to be able to agree soon with PetroChina Co. about the sale of a Valero Energy Corp. refinery on the island, Dutch news agency ANP reported, citing the politician.

The refinery is placed ¡°

well in the market¡± given the $16 billion oil exploration agreement between China and Venezuela earlier this month, the Dutch-language agency cited Oduber as saying in a report dated Sept. 20. Talks are under way, he said, according to ANP. Aruba is in the southern Caribbean Sea, north of Venezuela.

San Antonio-based Valero said in July it was continuing talks with PetroChina over the sale of the 275,000 barrel-a-day facility that had been idled because of poor refining margins. The Chinese government has been encouraging its oil companies to buy overseas assets in the global economic slowdown and last week agreed to invest $16 billion in Venezuela to boost oil production

Valero maps comeback for old Aruba plant

In just over a year Valero Energy has spent more than $1-bil to buy and fix up two of the Western Hemisphere's most notorious refineries: the ex-TransAmerican plant at Good Hope, Louisiana, and the once sprawling Lago Petroleum (Exxon) plant on Aruba. Both aging properties have been bottomless pits for capital spending and a byword for mechanical problems and red ink. Now, in a remarkable turn of events, they are not only running smoothly at huge profits, they also have become prime spots for what could be major new capacity expansions equal to two or three new refineries for a tight US market. Here is the first of our tale of two refineries.

From the white sand beaches, warm surf and tourist-packed hotel-casinos on the western shore of Aruba, there is no sight or smell of the venerable former Exxon Lago Petroleum refinery at the other end of this sunny Dutch Caribbean resort isle.

A dozen miles downwind, however, sulfurous brownish-white clouds drift south in the azure skies from Lago's tall stacks, wafting toward Venezuela 20 miles away. Even with the steady offshore breeze, a stench like rotten eggs pervades the surrounding town of San Nicholas.

Lago may be the world's last refinery still burning its own tarry, high-sulfur vacuum tower bottoms, to make steam, power, fresh water and process heat. With no cat cracker now or other source of enough fuel gas, and only spotty electricity, it has little choice.

Lax Aruban air quality rules make the noxious emissions legal. But the corrosive, metals-laden pitch wears hard on pipes, burner tips and furnace linings. The not-infrequent plant-wide power outages can coagulate the normally 300-degree pitch, forcing the ripping up of miles of pipe three times since 2001 at a cost of untold millions of dollars.

That air pollution and troublesome fuel system are high on the list of many longstanding problems new owner Valero Energy is determined to fix at the Aruba plant, which in recent years has had a sorry record of fires, fatalities and equipment failures.

Last year, under prior owner El Paso, four men died in separate mishaps and the plant averaged only 176,000 b/d for on-stream performance of just 55% of its theoretical 315,000 b/d of distillation capacity in two relatively new atmospheric crude units. In 2002 it ran at a mere 46%, averaging 151,000 b/d.

Valero bought the plant in March for $365-mil, barely equal to the debt El Paso had on Aruba and about 15 cts on the dollar of replacement value. Since then operating rates have averaged over 200,000 b/d and up to 240,000 b/d, augmenting its Mexican Maya feed with other heavy grades from Venezuela, Ecuador, Brazil or even Russian resid.

Earnings this year are expected to be almost $250-mil as discounts on its heavy, sulfur crude feed have widened to more than $14/bbl under WTI and prices for its product slate of mostly distillate, naphtha and gas oil cat-cracker feed have soared. Valero has reaped another $20-mil or more by optimizing Aruba's crude and product flows, including movements of jet and low-sulfur diesel to Europe and the US West coast.

In January the plant's 775 mostly unionized employees are in line for what could be an unheard-of 8% pay bonus. Despite having roughly double the manpower of a comparable US refinery, Aruba has ranked this year near the top of Valero's 15 plants in return on capital. So far direct job cuts by Valero have been minimal, but a spate of retirements are expected. Contractors, including several close relatives of the island's prime minister, have been reduced from 600 to 350.

"Aruba was a great acquisition," declares Valero CEO William Greehey, predicting it will pay for itself within two years.

And Valero is already mapping an ambitious expansion to exploit Aruba's non-existent environmental permit requirements, remaining seven-year tax holiday and favorable shipping logistics to the US Gulf Coast, New York Harbor, Europe and even California.

The first step for Valero at Aruba has been to bolster power capacity to 100 MW with new and rebuilt turbines and diesel generators. Since March Valero has already spent about $60-mil on repairs and will spend another $160-mil next year on turn-arounds, upkeep and a fourth sulfur recovery unit.

Step two, says plant manager Martin Parrish, is to boost coking from 66,000 b/d to 76,000 b/d with quicker cycling of Aruba's two units and to finish major furnace repairs on an idled 42,000 b/d visbreaker. That would lift heavy crude capacity back to 285,000 b/d from a current 245,000 b/d.

"The next step is to make gasoline," says CEO Greehey. Aruba has a $700-mil expansion plan for a cat cracker, reformer and alkylation unit. That would give the plant year-round profitability.

With waste gases from a cat-cracker, Aruba could begin replacing pitch as a process fuel. A $200-mil coke fluid boiler (CFB) is also eyed to replace pitch in making steam, allowing easier stack gas sulfur removal. Plus, a cat-cracker would mean output "gain" on products to 105% of crude inputs, instead of Aruba's current deficit. "The world of refining now revolves around cat-crackers," explains Bob Gregory, president Valero's Aruba subsidiary.

Beyond that, Valero has drafted a tentative $2-bil plan to double Aruba's capacity to 500,000 b/d with new crude units and cokers. Then another $3-bil would triple it to a prodigious 800,000 b/d of heavy, sour crude input, making 370,000 b/d of clean gasoline. Along with volume, complexity would climb from a current low index of 6.2 to more than 30 over six or seven years, rivaling Valero's flagship plant at Corpus Christi, Texas.

Compared to the cost of similar new capacity in the environmentally restricted US, Aruba looks like a bargain venue. It has "great infrastructure, a lot of land and no permitting problems," says Greehey. As clean-fuel spending abates on Valero's other 14 US and Canadian plants, totaling 2.1-mil b/d, Greehey notes, "we could move quickly" to restore Aruba's past glory.

Once one of the world's largest refining complexes under Exxon ownership since 1932, Lago was processing more than 700,000 b/d into mostly heavy fuel oil in the 1970s through seven crude units, and it had at least one cat cracker. The sprawling complex had 20-mil bbl of storage tanks, deepwater docks for ULCCs, and housing for many of its 8,000 employees. Ruins of gun emplacements still guard the nearby hills, a reminder of the plant's crucial role in World War II when its high-octane aviation fuel was credited with defeating the Luftwaffe.

In 1985, however, Exxon abruptly shut down and simply walked away from the giant plant in a row with Venezuela over crude pricing, taking a $1-bil write-off (ON 8/14/03). "The fundamental problem is that Exxon shut down the plant and didn't mothball it," says one former manager there: "It was not left in a condition where it could be restarted."

Presumably that was to prevent it from falling into the hands of PDVSA, as later happened with Shell's refinery on nearby Dutch Curcao. It was equivalent to a retreating army spiking its cannons. Lago became a giant, rusting heap of scrap metal.

Three years after the abandonment, in 1988, Coastal chairman and inveterate trader in politically incorrect crude Oscar Wyatt acquired the partially dismantled refinery by buying out scrap rights from an Aruba contractor for just $9-mil. Wyatt's plan was to process medium heavy-sour Kirkuk and Basrah from Iraq, where he had forged a relationship with Saddam Hussein during the Iran-Iraq war.

Aided with a 20-year tax holiday from the desperate Aruban government, Coastal resumed operations in 1991 with a new crude unit at 180,000 b/d. Though unable to make gasoline, the plant could produce naphtha, distillate, fuel oil and intermediate feedstock for the growing US cat-cracker market.

Iraq's invasion of Kuwait, the US Gulf War and UN sanctions forced Wyatt to find other crude. Unwilling to pay PDVSA's price, he got a deal for relatively cheap Mexican Maya, with a shipping discount. Later, Coastal bought out Lago's dock and tank farm from Wickland Oil, which had picked them up in 1989 in hopes of reviving crude trans-shipments to the US.

But Wyatt's hope of windfall profits on widening discounts for Maya failed to come true. Those spreads languished under $6/bbl through most of the 1990s. The plant topped a modest $100-mil in operating net only once in 13 years and ended 2003 with accumulated tax losses of almost $300-mil; never really able to use its Aruban tax breaks. By design or necessity, "Coastal's approach was to do the minimum, or less," on capital investment, says one former manager there: "Push it to its capabilities and put the money in the bank. They basically ran it into the ground."

In 1998 Coastal began a nearly $400-mil debt-financed effort to add a second crude unit and another coker, boost hydrogen capacity and upgrade its water system. But the plant was still hobbled by aging and failure-prone infrastructure when Coastal was taken over in 2000 by gas pipeline and merchant energy giant El Paso.

Uncomfortable with the refining business in general and soon to face its own cash squeeze, El Paso nevertheless stepped-up investment at Aruba to get it in shape for a sale. Over five years Coastal and El Paso plowed a generous $640-mil into Aruba; far more than its cash flow.

El Paso rebuilt three amine units (for treating acidic gas), docks, turbines, furnaces, boilers, reactors and both crude units. It clad the 160,000 b/d vacuum unit to handle corrosion, replaced miles of buried power cables and refurbished the plant's large coke-handling systems. But reliability remained iffy, and some of the spending may have been mis-directed. For instance, it used insurance proceeds from a 2001 visbreaker fire to rebuild that marginally useful unit. After another small fire, it again remains out of service.

Scrambling to raise cash this year, El Paso sold Aruba to Valero in March for $365-mil, plus $250-mil for working capital and $100-mil for the docks and 11.7-mil bbl of remaining tankage. It booked a small gain, but only after taking a nearly $1-bil pre-tax charge on the plant in 2003.

UPDATE 1-Valero won't rule out alternatives for any plants

HOUSTON, Oct 8 (Reuters) - Leading U.S. refiner Valero Energy Corp will not rule out 'strategic alternatives' including possible shutdowns at any of its 16 refineries in current economic downturn, a company spokesman said on Thursday.

The company is not necessarily willing to sell any refineries, but strategic alternatives would include possible refinery or unit shutdowns to contend with crushed demand in the recession, said spokesman Bill Day.

'We wouldn't rule out strategic alternatives at any of our refineries,' Day told Reuters in an interview.

Valero's announcement comes days after fellow independent

refiner Sunoco Inc began shutting down a refinery in the New Jersey suburbs east of Philadelphia.

Previously, Valero used the term strategic alternatives when it put a refinery up for sale.

Chairman and Chief Executive Bill Klesse reiterated to employees in a memo this week that Valero was still aggressively pursuing strategic alternatives for refineries in Paulsboro, New Jersey, Delaware City, Delaware, and Aruba, according to sources familiar with the document.

The 235,000 bpd Aruba refinery has been on the block since 2007.

'There's been no movement on a deal at that refinery,' said a source familiar attempts to sell it.

Aruban officials have said PetroChina is a would-be buyer of the refinery. Petrobras has also been identified as a potential buyer.

Valero has never confirmed the identity of possible buyers of any of its refineries.


To cut costs at Paulsboro, Day said, Valero is offering early retirement packages to 100 employees out of a refinery workforce of 550.

The Paulsboro refinery is in the same New Jersey county as the refinery Sunoco is shutting.

Valero's struggle illustrates how much U.S. refining economics have changed since the recession began in the fall of the 2008.

Twenty-two months ago, Klesse identified 12 of 18 refineries Valero owned at that time as 'core' to the company's future and which Valero would invest in.

Among those core plants was the 210,000 bpd Delaware City refinery, where Valero recently shut a coker and gasifier unit. laying off workers on those units.

Rumors continue to swirl the Delaware City refinery may be shut indefinitely sometime in 2010. Day said again on Thursday Valero has no plans to shut the plant.

Valero shut the Aruba refinery in July as a temporary measure during the downturn. It became an indefinite shutdown in late August as market conditions failed to improve.

At its Corpus Christi, Texas, refinery Valero has shut a gasoline unit and a coking unit. The company has also reduced production levels at other refineries.

Day said legislation passed earlier this year by the U.S. Congress to reduce carbon emissions makes the long-term outlook for independent refiners like Valero doubtful.

Valero has previously said the legislation could cost the company between $6 billion and $7 billion, equal to Valero's earnings in 2006, one of the company's best years.

Keeping in constant contact with the ROV operator informing them of any obstructions, platforms, pipe lines they may incur along the way. I have some working knowledge of ROV operation or piloting. Vessel used, Seaway Defender.

C&C Technologies contract consists of AUV operation using Hydromap multibeam software, Hugin Operator Station by Kongsberg Simrad for 300m to 3000m water depths. Duties include planning of "mission" test the endurance of the dive calculate time in the water and complete survey coverage. Monitor AUV's critical systems including battery, system voltages, system currents, rudder section and servos and overall statistics of AUV. When needed, I will help with the battery fluid change, cathode changes, HP and KOH changes, anode changes, or any computer problems that my happen in the control sphere (CP) or the Payload Processor (PP). Also the deployment and retrieval of AUV and acoustic tow fish. This uses two SSBL acoustic transmitters for data collection between mother ship and AUV. Vessel, Rig Supporter.
